Terms of Service

1. Introduction

These Terms of Service ("Terms") govern your use of LabelInn software and services ("Service") provided by LABELINN TECHNOLOGIES LTD ("we", "us", "our"), a company registered in England and Wales with company number 16956957.

By accessing or using our Service, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Service.

3. Service Description

LabelInn is a professional label design and printing software that enables users to:

  • Design and create custom labels
  • Generate and print barcodes
  • Integrate with e-commerce platforms and cargo systems
  • Manage printer settings and configurations
  • Access cloud-based storage and templates

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.

4. User Account and Registration

4.1 Account Creation

To use certain features of the Service, you must create an account. You agree to:

  • Provide accurate, current, and complete information
  • Maintain the security of your account credentials
  • Notify us immediately of any unauthorized use of your account
  • Be responsible for all activities that occur under your account

4.2 Eligibility

You must be at least 18 years old to use our Service. By using the Service, you represent and warrant that you meet this requirement.

5. Subscription and Payment

5.1 Subscription Plans

LabelInn offers various subscription plans with different features and pricing. Details of available plans are available on our Pricing page.

5.2 Free Trial

We may offer a free trial period for new users. The trial period and its terms will be clearly stated at the time of registration. After the trial period ends, your subscription will automatically convert to a paid plan unless you cancel before the trial expires.

5.3 Payment Terms

  • All prices are displayed in the currency specified on the pricing page
  • Payments are processed securely through our third-party payment providers
  • Subscriptions are billed in advance on a recurring basis (monthly or annually as selected)
  • You authorize us to charge your payment method automatically for each billing cycle

5.4 Auto-Renewal

Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date. You will be charged the then-current subscription fee for your selected plan.

6. UK Consumer Rights

6.1 14-Day Cooling-Off Period (Right to Cancel)

In accordance with the Consumer Rights Act 2015 and Consumer Contracts Regulations 2013, UK consumers have the right to cancel their subscription within 14 days of purchase without giving any reason.

To exercise your right to cancel, please contact us at support@labelinn.com within 14 days of your purchase date.

Important: If you start using the Service during the 14-day cooling-off period and then cancel, you may be charged a proportionate amount for the services provided up to the cancellation date.

6.2 Refund Policy

If you cancel within the 14-day cooling-off period and have not used the Service, we will provide a full refund within 14 days of receiving your cancellation notice.

Refunds will be processed to the original payment method. After the 14-day period, subscriptions are non-refundable, but you can cancel at any time to prevent future charges.

7. Cancellation and Termination

7.1 Cancellation by You

You may cancel your subscription at any time through your account settings or by contacting us at support@labelinn.com. Cancellation will take effect at the end of your current billing period.

7.2 Termination by Us

We reserve the right to suspend or terminate your account if you:

  • Violate these Terms
  • Engage in fraudulent or illegal activities
  • Fail to pay subscription fees
  • Abuse or misuse the Service

8. User Responsibilities and Acceptable Use

You agree not to:

  • Use the Service for any illegal or unauthorized purpose
  • Violate any laws in your jurisdiction (including but not limited to copyright laws)
  • Attempt to gain unauthorized access to any part of the Service
  • Interfere with or disrupt the Service or servers
  • Upload or transmit viruses or any other malicious code
  • Impersonate any person or entity
  • Collect or harvest any information from the Service without permission
  • Share your account credentials with others
  • Use the Service to spam or send unsolicited communications
  • Exceed published API rate limits or share an API key across organisations to circumvent quotas
  • Use the API, MCP server, or any official SDK to drive printers you do not own or are not authorised to operate
  • Submit print jobs containing illegal, defamatory, or otherwise unlawful content
  • Reverse engineer, scrape, or republish the API surface as a competing product
  • Forward AI-agent prompts containing third-party personal data through the MCP server without a valid lawful basis

9. Intellectual Property Rights

9.1 Our IP Rights

All content, features, and functionality of the Service, including but not limited to software, text, graphics, logos, icons, images, audio clips, and design, are the exclusive property of LABELINN TECHNOLOGIES LTD or its licensors and are protected by copyright, trademark, patent, and other intellectual property laws.

9.2 Your IP Rights

You retain all ownership rights to the content you create using our Service (your designs, labels, and data). By using the Service, you grant us a limited license to host, store, and process your content solely for the purpose of providing the Service to you.

9.3 License to Use the Service

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal or business use.

10. Data Protection and Privacy

We are committed to protecting your personal data in accordance with the UK GDPR, KVKK (Turkish Personal Data Protection Law), and the Data Protection Act 2018. Our Privacy Policy explains how we collect, use, and protect your personal information.

By using the Service, you acknowledge that you have read and understood our Privacy Policy. We comply with both UK and Turkish data protection regulations.

11. Third-Party Services, API, SDKs and MCP Server

11.1 Third-Party Services and Integrations

LabelInn integrates with third-party services (e-commerce platforms, cargo carriers, payment providers, AI providers, and analytics tools). Your use of these third-party services is subject to their respective terms. We are not responsible for the practices, policies, or content of those services. A current list of integrated providers is maintained in our Privacy Policy.

11.2 API and SDK Access

Our REST API and official SDKs are made available subject to (a) holding a paid plan that includes API access, and (b) compliance with these Terms. We publish per-plan rate limits (daily quota and per-minute burst). Sustained traffic above your plan's limits returns HTTP 429 responses; repeatedly ignoring 429s, attempting to flood the API, or rotating keys to avoid quotas may result in suspension of API access without refund. We reserve the right to update rate limits with reasonable notice. API keys are credentials and must be treated as such — you are responsible for any activity performed with your keys until you rotate them.

11.3 MCP Server (Model Context Protocol)

The @labelinn/mcp-server package is provided under MIT licence and runs on your own machine. The server uses your LabelInn API key to call our REST API on your behalf. You are responsible for the AI client (e.g. Claude Desktop, Cursor, Copilot) that you connect, and for the prompts that pass through it. We do not see your prompts; we only see the resulting tool calls our server makes. AI agent calls count against your plan's API quota the same as direct API calls.

11.4 Webhooks and Outbound Calls

If you configure outbound webhooks, you are responsible for the destination endpoint's availability and security. We sign every webhook with HMAC-SHA256; you must verify the signature before trusting payloads. We retry up to 5 times with exponential backoff (1s, 5s, 25s, 60s) and auto-disable a subscription after 50 consecutive failures. Repeatedly publishing endpoints that are unreachable or that respond with errors may, at our discretion, result in webhooks being disabled across your account.

11.5 Suspension and Abuse

We may suspend or limit API, SDK, or MCP server access if we detect activity that threatens platform stability or other customers' service — including but not limited to volumetric abuse, credential sharing, automated key generation, or use of the printer fleet for purposes prohibited by Section 8. Where suspension is reversible, we will notify the account owner and give a reasonable opportunity to remedy the issue.

12. Disclaimers and Limitations of Liability

12.1 Service Availability

We strive to provide uninterrupted access to the Service, but we do not guarantee that the Service will be available at all times. The Service may be unavailable due to maintenance, updates, or circumstances beyond our control.

12.2 "As Is" Basis

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

12.3 Limitation of Liability

To the maximum extent permitted by law, LABELINN TECHNOLOGIES LTD shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from:

  • Your use or inability to use the Service
  • Any unauthorized access to or use of our servers and/or any personal information stored therein
  • Any interruption or cessation of transmission to or from the Service
  • Any bugs, viruses, or the like that may be transmitted through the Service by any third party
  • Any errors or omissions in any content or for any loss or damage incurred as a result of your use of any content

Nothing in these Terms excludes or limits our liability for:

  • Death or personal injury caused by our negligence
  • Fraud or fraudulent misrepresentation
  • Any other liability that cannot be excluded or limited under English law

13. Indemnification

You agree to indemnify, defend, and hold harmless LABELINN TECHNOLOGIES LTD, its directors, officers, employees, and agents from any claims, liabilities, damages, losses, and expenses, including legal fees, arising out of or in any way connected with:

  • Your use or misuse of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights, including intellectual property rights
  • Any content you submit or create using the Service

14. Changes to Terms

We may update these Terms from time to time to reflect changes in our practices, legal requirements, or for other operational reasons. We will notify you of any material changes by:

  • Posting the updated Terms on this page with a new "Last updated" date
  • Sending you an email notification (if you have provided your email address)

Your continued use of the Service after any changes constitute acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service.

15. Dispute Resolution

15.1 Informal Resolution

If you have any concerns or disputes regarding the Service, please first contact us at support@labelinn.com. We will make reasonable efforts to resolve the issue informally.

15.2 Alternative Dispute Resolution

If we cannot resolve your complaint within 14 days, you may use the European Commission's Online Dispute Resolution (ODR) platform:

15.3 Governing Law and Jurisdiction

These Terms and any disputes arising out of or related to these Terms or the Service shall be governed by and construed in accordance with the laws of the Republic of Turkey, without regard to its conflict of law principles.

The courts of Istanbul, Turkey shall have exclusive jurisdiction to settle any disputes arising out of or in connection with these Terms.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and LABELINN TECHNOLOGIES LTD regarding the use of the Service.
